Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Truvana, LLC ("Truvana," "we," "us," or "our") governing your access to and use of the Truvana platform and services ("Service").

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Truvana is a human resources management platform designed for California K-12 school districts and public agencies. The Service provides tools for:

  • Employee performance evaluation management
  • Incident and infraction documentation
  • Progressive discipline tracking
  • Legal documentation and export
  • AI-assisted documentation features

3. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your password and account
  • Promptly notify us of any unauthorized access
  • Accept responsibility for all activities under your account

4. Acceptable Use

You agree NOT to use the Service to:

  • Violate any applicable laws or regulations
  • Harass, discriminate against, or retaliate against any employee
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to systems or data
  • Use automated systems to scrape or collect data
  • Impersonate another person or misrepresent your affiliation
  • Upload content that infringes intellectual property rights
  • Use the Service for any purpose other than legitimate HR management

5. Important Disclaimers

5.1 Not Legal Advice

THE SERVICE DOES NOT CONSTITUTE LEGAL ADVICE. Truvana provides documentation tools and templates, but these do not replace the advice of qualified legal counsel. You are solely responsible for ensuring your HR practices comply with applicable laws, collective bargaining agreements, and organizational policies.

5.2 Discipline & Legal Export Features

The progressive discipline tracking and legal documentation export features are provided as organizational tools only. Truvana makes no representations about the legal sufficiency of any documents generated. All disciplinary actions should be reviewed by your legal counsel before implementation.

5.3 AI-Generated Content

AI-powered features such as summaries and suggestions are provided for convenience only. AI outputs may contain errors and MUST be reviewed by a human before being included in official personnel records. See our AI Ethics Statement.

6. Intellectual Property

6.1 Our Property

The Service, including its design, features, code, and content, is owned by Truvana and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.

6.2 Your Content

You retain ownership of content you upload to the Service. By uploading content, you grant Truvana a limited license to store, process, and display that content as necessary to provide the Service.

7. Payment Terms

Access to the Service requires a paid subscription as defined in your Master Services Agreement or order form. Payment terms include:

  • Fees are billed annually in advance unless otherwise agreed
  • All fees are non-refundable except as required by law
  • We may suspend access for non-payment after 30 days notice
  • Prices may change upon renewal with 60 days notice

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
  • TRUVANA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify and hold harmless Truvana from any claims, damages, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Disciplinary actions taken based on information in the Service

10. Termination

Either party may terminate the subscription as specified in the Master Services Agreement. Upon termination:

  • Your access to the Service will be revoked
  • You may request export of your data within 30 days
  • We will delete your data within 90 days unless legally required to retain
  • Provisions that should survive termination (liability, IP, indemnification) will survive

11. Governing Law

These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in California.

12. Changes to Terms

We may update these Terms periodically. We will notify you of material changes by email or through the Service. Continued use after changes take effect constitutes acceptance of the new Terms.
